The Regular Shareholders' Meeting of "And-Energy" JSC was openly organized on April 25, 2026, in a hybrid (in-person and virtual) format through the company's official page.
The Chairman of the Board of Directors, members of the Board of Directors, the Secretary of the Board of Directors, the Chief Executive Officer, the meeting organizing committee, and shareholders of the company participated in the meeting.
As of the record date for compiling the shareholders' list on April 3, 2026, a total of 654 shareholders held 78,070,758 shares of "And-Energy" JSC. Out of these, 11 shareholders holding 66.58% or 51,983,300 shares participated in the meeting, thereby reaching the quorum and making the meeting valid.
According to the meeting agenda, the items to be discussed were presented in sequence, covering the operational and financial reports, Independent Auditor's conclusion, Board of Directors' conclusion, Q&A session, introduction of candidates for the Board of Directors, and voting, which resulted in the following decisions:

They were respectively elected for a term of 2 years, starting from April 25, 2026, until the regular shareholders' meeting of 2028.
As of the record date, the resolution to distribute a cash dividend of 1.2 MNT per share, or a total of 93,684,693.6 MNT (ninety-three million six hundred eighty-four thousand six hundred ninety-three MNT and six mungu), to the total shareholders of "And-Energy" JSC was presented to the company's shareholders.
